2. GENERAL
2.1. Mindly operates the Platform. These General Terms and Conditions govern the use of the Platform, including the relationship between the Patient, Mindly and the Therapist.
2.2. Clientʼs access to and use of the Service is conditioned on Clientʼs acceptance of and compliance with these General Terms and Conditions.
2.3. The Patient represents that s/he is at least 18 years of age or of legal age in their place of residence if an adult is over 18 years of age in that jurisdiction, or if the Patient is considered a minor in his/her country, s/he has the permission of a parent or a legal guardian.
2.4. The Client is aware and agrees that his/her personal data will be processed in accordance with Mindly's Privacy Policy, which is available here: https://mindlyspace.com/privacy-policy. Mindly may change the Privacy Policy unilaterally.
2.5. The Client is aware and agrees that by using the App, s/he is also required to follow the relevant App Storeʼs own terms and conditions.
3. HEALTH DISCLAIMER
3.1. The services provided are not intended for emergency situations. If the Patient is experiencing thoughts of self-harm or harming others, or any other physical or mental symptoms indicative of a serious urgent condition or life-threatening emergency, it is advised to immediately visit the nearest hospital emergency department or call the appropriate emergency number without delay.
3.2. The Platform is not intended for the provision of clinical diagnosis requiring an in-person evaluation nor acute mental health crises requiring in-person treatment and you should not use it if you need any official documentation or approvals for purposes such as, but not limited to, court-ordered therapy.
3.3. The Platform is also not intended for any information regarding which prescription drugs or medication may be appropriate for you, nor provision thereof.
3.4. For the avoidance of doubt Mindly is not operating as a healthcare service provider.
4. ESTABLISHING AN ACCOUNT
4.1. To open an Account, the Client downloads the relevant App from the App Store or registers on the Website, enters an email address, chooses a password, and enters any additional data required by Mindly and agrees to the General Terms and Conditions.
4.2. Once the Account has been created, the Patient may search for and interact with Therapist profiles on the Platform, including by viewing a profile, saving it to favourites, or otherwise engaging with it (each such action, a “Profile Interactionˮ), and choose a Therapist to commence sessions with. When a Patient performs a Profile Interaction, the Platform may make certain limited information visible to the relevant Therapist, as set out in clause 4.8.
4.3. To log in to the Platform, the Client must use the e-mail address and password used when registering the Account.
4.4. The Client may not disclose his/her password to third parties. If the password becomes available to a third party, the Client is obliged to change it immediately.
4.5. Actions performed on the Platform after entering the Client's email address and password upon entering the Account are treated as the Client's signature or consent. All applications, agreements and other documents confirmed or submitted by the Patient and Therapist on the Platform are binding on the Parties.
4.6. Therapists who wish to provide their Services through the Platform must have relevant professional training or be in the process of obtaining it, to conduct Therapy sessions. Therapists shall indicate their specialisation and area of expertise, approximate years of experience upon registration, comply with the ethical requirements applicable to the profession, and sign a separate Therapist Agreement with Mindly to use the Platform and provide the Service.
4.7. Therapists may use Profile Interaction data solely to assess patient interest and to initiate or respond to communication through the Platform. Use, storage or processing of such information outside the Platform, including for marketing, profiling, or direct contact with Patients is strictly prohibited. Any communication prior to the signing of a Patient Agreement does not constitute a therapeutic relationship and shall not be considered medical advice, diagnosis or treatment.
4.8. When a Patient performs a Profile Interaction with a Therapist's profile, the Platform may display to that Therapist: (i) the display name associated with the Patient's Account; and (ii) the specialisation and work direction filters selected by the Patient when searching for that Therapist. No other personal data, contact details or account information shall be disclosed through a Profile Interaction. By performing a Profile Interaction, the Patient acknowledges that the above-described information will be made visible to the relevant Therapist, who may initiate communication with the Patient through the Platform on that basis. Patients may report any inappropriate communication or misuse of this information to Mindly through the Platform or other available contact channels.
4.9. Patient who wishes to use the Services must be at least 18 years of age or of legal age in their place of residence if an adult is over 18 years of age in that jurisdiction, or if the Patient is considered a minor in his/her country, s/he must have the permission of a parent or legal guardian.
4.10. The Client ensures that s/he provides accurate, current, and complete information about themselves upon registration and use the Account management tools provided to keep Client data, including contact address, any Payment data accurate, current and complete.
5. SERVICE PROVISION
5.1. The Platform acts as a bridge between the Therapists and Patients, facilitating Therapists in providing their professional services while allowing Patients to access convenient and confidential mental health counselling from these Therapists. For the sake of clarity Mindly does not offer any Therapy sessions and is not responsible for these. Mindly only offers a digital platform that allows Patients and Therapists to establish contact with each other to book and conduct Therapy sessions. The Platform for Therapists is meant for receiving orders for Therapy sessions, conducting the Therapy sessions, and managing their Services on the Platform.
5.2. To use the Services of a selected Therapist via the Platform, the Patient is required to sign a separate Patient Agreement with the Therapist, in addition to accepting the General Terms and Conditions.
5.3. Following the booking of a Trial Session and the signing of the Patient Agreement pursuant to Section 5.2, the Platform will notify the Patient of the option to transfer information previously provided on the Platform to the selected Therapist prior to the Trial Session.
5.3.1. The transfer of such information requires the Patient's explicit consent, provided in two stages: (i) upon receiving the notification, the Patient confirms their willingness to share; and (ii) after reviewing the full list of information to be transferred, the Patient confirms the transfer. Information will be shared with the Therapist only after both confirmations have been provided.
5.3.2. Prior to the second confirmation, the Patient may review and update the information to be transferred. Updated information will be shared with the Therapist only upon the Patient's subsequent confirmation.
5.3.3. The Patient may decline to share at either stage of the consent process without any impact on the Trial Session.
5.4. Every Patient is granted one Trial Session with each Therapist s/he has not previously engaged with. The payment for the Trial Session must be made in advance by the Patient. Following the Trial Session, the Patient has the option to purchase a Subscription for further sessions with the same Therapist. Please note that the Subscription is exclusively valid for sessions with the chosen Therapist.
5.5. The Patient can book a Therapy session up to 8 (eight) weeks in advance.
5.6. Therapy sessions are provided only via video conference or audio call on the Platform between the Therapist and Patient(s). The Therapy sessions may be one-on-one sessions or as couplesʼ sessions or other group sessions.
5.7. The sessions are not recorded or summarised in any way on the Platform.
5.8. The length of one Therapy session is indicated on the Platform.
Rescheduling
5.9. Patients and Therapists have the flexibility to reschedule Booked Sessions unlimited times throughout the Subscription period and even after the Subscription period ends. For the sake of clarity, upon cancellation of the Subscription, as described in the clause 6.5, if the Patient cancels any Booked Sessions associated with that Subscription beyond the Subscription period, those Booked Sessions will be lost.
5.10. Patients may reschedule their Booked Sessions up to 24 hours in advance. Therapists are permitted to reschedule up to 72-hour after the commencement of the Therapy session.
6. SUBSCRIPTIONS
Subscription period
6.1. Mindly offers the following Subscription plans for the Patients on the Platform:
6.1.1. Monthly Subscription includes 4 (four) Therapy sessions. The Subscription will be renewed automatically each month by adding 4 (four) new Therapy sessions with the chosen Therapist to the Subscription Balance;
6.1.2. Quarterly Subscription includes 12 (twelve) Therapy sessions. The Subscription will be renewed automatically after every 3 (three) months by adding 12 (twelve) new Therapy sessions with the chosen Therapist to the Subscription Balance;
6.1.3. Bi-annual Subscription includes 24 (twenty-four) Therapy sessions. The Subscription will be renewed automatically after every 6 (six) months by adding 24 (twenty-four) new Therapy sessions with the chosen Therapist to the Subscription Balance.
6.2. The Patient will be paying in advance on a recurring and periodic basis (monthly, quarterly or bi-annually) for the whole Subscription period, depending on the type of Subscription plan the Patient selects when purchasing the Subscription.
6.3. The Patient can manage all its Subscriptions and check their Subscription Balance, Booked Sessions, Used Sessions as well as invoices and payments under the Account any time.
6.4. All unbooked sessions expire within the applicable billing cycle according to the chosen Subscription plan. Any unbooked Therapy sessions left under the Subscription Balance will not roll over or be eligible for use after the Subscription period ends and these sessions will be lost once the Subscription renews automatically. For the avoidance of doubt, a Booked Session is not considered unused Therapy session, therefore if the Patient books a Therapy session before the end of Subscription period (e.g. on the last day of the Subscription period) according to the clause 5.4 above, then the Patient can still use that Booked Session and it will not be lost.
Cancellation of the Subscription
6.5. Patients may cancel the Subscription plan at any time on the Platform under the Subscription. The Subscription must be cancelled before it renews in order to avoid the next billing cycle. The Patient will not receive a refund for the fees already paid for the cancelled Subscription period, including if cancelled automatically due to failed billing (clause 6.7), and the Patient will be able to access the Service until the end of his/her current Subscription period or until all Booked Sessions are completed, whichever is latest.
6.6. Patients may postpone the next scheduled billing date for their Subscription by 1 (one) or 2 (two) weeks. The current billing period, including the expiry date of any unbooked sessions in the Subscription Balance, is extended accordingly to the postponed billing date. Booked Sessions are not affected by the postponement.
6.6.1. The maximum number of billing postponements available to the Patient within a single billing period is as follows: (i) 1 (one) for a Monthly Subscription, (ii) 2 (two) for a Quarterly Subscription, and (iii) 3 (three) for a Bi-annual Subscription.
6.6.2. Once a billing postponement is used, the count resets at the start of the next billing period. Unused postponements do not carry over to subsequent billing periods.
6.6.3. Patients may request a billing postponement through the Subscription settings on the Platform. The postponement must be requested before the current billing date. If the postponement limit for the current billing period has been reached, the option will not be available until the next billing period begins.
Billing
6.7. Mindly uses Payment Processing Providers for the payment transactions on the Platform. Payments will occur automatically once the Subscription plan renews, except for the first Trial Session.
6.8. Should automatic billing fail to occur for any reason, then the Subscription will not be renewed for the next period and will be automatically cancelled.
6.9. Patients will be notified via Platform should the Subscription fees be changed by the Therapist on the Platform. This shall give the Patient an opportunity to cancel the Subscription plan and avoid future automatic Subscription renewal based on the new fee.
Refunds
6.10. If the Trial Session is cancelled by the Patient or Therapist, the funds will be automatically refunded to the Patient.
6.11. Any Used Sessions, where the Therapist did not show up, after at least 15 minutes from the start of the Session, will be refunded to the Patient upon their request, given that such a request was submitted by the Patient to Mindly no later than 72 hours after the start of such Session.
6.12. If the Patient is not fully satisfied with the Therapy session received, then certain refund requests for Trial Sessions and Therapy sessions under the Subscriptions may be considered by Mindly on a case-by-case basis and granted at the sole discretion of Mindly.
6.13. Any unused and upcoming Booked Sessions will be refunded to the Patient if the Account will be closed by Mindly according to the clause 11.4.
7. GIFT CARDS
Purchase and Activation of Gift Cards
7.1. Gift Cards are available for purchase through the Platform. The Gift Card Buyer may buy Gift Cards in various denominations that are represented on the Platform.
7.2. After the purchase, the Gift Card Buyer will receive a confirmation email with details on how to gift or use the Gift Card.
7.3. Gift Card Buyers are eligible for a refund within 14 days of purchasing a Gift Card. The refund will be processed as a direct refund to the Buyerʼs bank card, which was used to make the purchase of the Gift Card, given that the Gift Card has not yet been activated.
7.4. A Gift Card (before its activation) may be transferred or gifted by a Gift Card Buyer to another person, who becomes the Patient after activation of the Gift Card.
7.5. Activation of the Gift Card occurs at the first use by a Patient. Once activated, the Gift Card is linked exclusively to that Patient and cannot be transferred.
Usage and Expiration
7.6. Gift Cards are valid for 12 months from the date of purchase. Any unused balance on the Gift Card after the expiry date is no longer available and cannot be refunded or extended.
7.7. A Gift Card may be used as part or full payment for Trial Sessions or Subscriptions, subject to the available Gift Card Balance.
7.7.1. Patients may redeem the Gift Card partially. The remaining Gift Card Balance will remain valid until fully used or expired.
7.7.2. If the full price of a Trial Session or a Subscription cannot be covered by a Gift Card, Patients may pay the difference by a cash surcharge.
7.8. Gift Cards cannot be combined with any other offers, discounts, or promotional codes.
7.9. Gift Cards cannot be used for purchasing another Gift Card.
Refunds
7.10. A refund of Trial Session or a Subscription which was purchased completely using a Gift Card (no cash surcharge) will be made automatically by topping up the same Gift Card Balance that was used to purchase it. The Patient will be able to use this Gift Card to buy Trial Sessions or Subscriptions in the future, as long as the Gift Card is valid.
7.11. A refund of Trial Session or a Subscription which was purchased partly by using a Gift Card and partly by a cash surcharge will be provided by first to replenishing the full original Balance of the Gift Card used. If the refund amount exceeds the full original Gift Card balance, the remaining amount is issued as a cash refund to the bank card of the Patient.
7.12. Refunds credited back to Gift Cards Balance cannot be exchanged for cash.
7.13. The unique Gift Card code must be kept secure. Mindly will not be liable for any lost, stolen, or unauthorised use of a Gift Card.
7.14. Mindly reserves the right to suspend or revoke any Gift Card issued under suspicious or fraudulent circumstances.
8. REFERRAL PROGRAM
Eligibility and Qualification

Self-referrals, multiple accounts, spam, posting links on coupon sites, and other abusive or fraudulent conduct are prohibited and may result in disqualification and forfeiture of benefits.

Referrer Bonus
8.8. For each valid referral, the Referrer may receive a promotional credit in the amount specified in the Referrerʼs account on the Platform. The Referrer Bonus is granted provided that the Invitee's discounted Trial Session becomes a Used Session and has not been cancelled, rescheduled, refunded, reversed, or charged back.
8.9. The Referrer Bonus is credited 72 hours after the scheduled start time of the Inviteeʼs Trial Session, provided the conditions above are satisfied, and becomes available immediately upon being credited.
8.10. The Referrer Bonus is promotional credit with no cash value, is not redeemable for cash, and is non-transferable. It may be used only to pay for services on the Platform and will be automatically applied to the next purchases of Trial Session or Subscription on the platform, until fully used, unless the Platform provides a selection mechanism.
Expiration
8.11. Invitee Discounts do not expire while the Referral Program remains active, unless the Platform explicitly states otherwise.

9.2. Mindly holds no liability for any harm inflicted upon Patients by the Therapists and/or vice versa.
